1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lakesoft Technologies Limited (RC 9454230), a private limited company registered in the Federal Republic of Nigeria under the Companies and Allied Matters Act, 2020, trading as Lakesoft Solutions ("Company," "we," "us," or "our") concerning your access to and use of our website (www.lakesoft-solutions.com) and software products.
By accessing our website, creating an account, or purchasing any software product, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access our website or use our services.
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also acknowledge and accept our Privacy Policy and the data processing practices described therein, in accordance with the Nigeria Data Protection Act 2023 (NDPA) and its General Application and Implementation Directive (GAID 2025).
2. License Grant and Restrictions
2.1 License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the software on authorized devices
- Use the software for your personal or internal business purposes
- Receive updates and support as specified in your license agreement
2.2 License Restrictions
Unless expressly authorized by us in writing, you shall not:
- Modify, adapt, translate, or create derivative works of the software
- Reverse engineer, decompile, disassemble, or attempt to derive source code
- Rent, lease, lend, sell, sublicense, or transfer the software to third parties
- Remove, alter, or obscure any copyright, trademark, or proprietary notices
- Use the software to develop competing products or services
- Exceed the number of installations specified in your license
- Share your license key with unauthorized users
3. Purchase and Payment
3.1 Pricing
Prices for our products and services are displayed in US Dollars (USD) for international customers and Nigerian Naira (NGN) for Nigerian customers, as indicated at checkout. NGN prices are updated periodically to reflect current exchange rates. We reserve the right to change prices at any time, but price changes will not affect orders already placed or active subscription periods already paid for.
3.2 Payment Methods
We accept major credit cards, debit cards, and other payment methods as displayed during checkout. All payments are processed through secure, PCI-compliant payment gateways.
3.3 Order Confirmation
Upon successful payment, you will receive:
- An order confirmation email with receipt
- Your unique license key
- Download instructions and links
- Access to your customer account dashboard
3.4 Failed Payments
If payment fails or is declined, your order will not be processed. We are not responsible for issues arising from payment failures due to insufficient funds, expired cards, or bank restrictions.
4. Refunds and Cancellations
4.1 Refund Policy
We offer a 30-day money-back guarantee for subscription-based software products. To request a refund:
- Contact our support team within 30 days of purchase
- Provide your order number and reason for refund
- Cease use of the software and logout from our portal on all devices
Refunds will be processed to the original payment method within 7-10 business days.
4.2 Exceptions to Refund Policy
Refunds are not available for:
- Custom development services (unless project is not delivered)
- Products purchased more than 30 days ago
- Enterprise licenses with special terms
- Renewal charges (must be cancelled before renewal date)
- Products purchased through third-party resellers
- Downloadable products since we have no control over the products in the user's custody after download/installation
5. Intellectual Property Rights
All software, documentation, website content, trademarks, service marks, and logos are owned by Lakesoft Technologies Limited (trading as Lakesoft Solutions) or our licensors. Our intellectual property is protected by Nigerian copyright law, international copyright treaties, trademark, patent, and other applicable laws.
Your license to use our software does not transfer any ownership rights. All rights not expressly granted in these Terms are reserved by Lakesoft Technologies Limited.
6. Prohibited Uses
You agree not to use our services or software for any unlawful purpose or in any way that:
- Violates any applicable laws or regulations
- Infringes upon the rights of others
- Distributes malware, viruses, or harmful code
- Attempts to gain unauthorized access to our systems
- Interferes with or disrupts our services
- Collects user information without consent
- Impersonates any person or entity
- Engages in fraudulent activity
7. Warranties and Disclaimers
7.1 Limited Warranty
We warrant that our software will substantially conform to the published specifications for a period of 30 days from the date of purchase. If the software does not conform, we will, at our option:
- Repair or replace the software
- Refund the purchase price
7.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED ABOVE, OUR SOFTWARE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The software will be error-free or uninterrupted
- Defects will be corrected
- The software will meet your specific requirements
- Results obtained will be accurate or reliable
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW AND OTHER RELEVANT LEGISLATION, IN NO EVENT SHALL LAKESOFT TECHNOLOGIES LIMITED (TRADING AS LAKESOFT SOLUTIONS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption
- Loss of goodwill or reputation
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE OR SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Support and Updates
9.1 Technical Support
Customers receive one year of free email support from the date of purchase. Support includes:
- Installation and activation assistance
- Bug reports and issue resolution
- General usage questions
- Access to documentation and knowledge base
9.2 Software Updates
Minor updates and bug fixes are provided free of charge. Major version upgrades may require an additional fee or upgrade license. You will be notified of available updates through your account dashboard or email.
9.3 SaaS Subscription Terms
For Software-as-a-Service (SaaS) and subscription-based products, the following additional terms apply:
- Billing Cycle: Subscriptions are billed on a monthly or annual basis as selected at checkout. Your billing cycle begins on the date of your first payment.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 48 hours before the renewal date. You will receive a renewal reminder email at least 7 days before renewal.
- Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting our support team. Cancellation takes effect at the end of the current billing period. You will retain access to the service until the end of the paid period.
- Price Changes: We will notify you of subscription price changes at least 30 days in advance. Continued use after the effective date constitutes acceptance of the new price.
- Service Availability: We target a service uptime of 99.5% monthly, excluding scheduled maintenance. Planned maintenance will be communicated at least 24 hours in advance where possible.
- Data on Cancellation: Upon cancellation, your data will be retained for 30 days after the subscription end date, after which it may be permanently deleted. You may export your data at any time during an active subscription.
- Free Trials: Where a free trial is offered, no payment is required during the trial period. You may cancel before the trial ends to avoid being charged. We reserve the right to limit free trial eligibility to one per user or organisation.
10. Termination
We may terminate or suspend your license and access to our services immediately, without prior notice, if you:
- Breach any provision of these Terms
- Engage in fraudulent activity
- Use the software for illegal purposes
- Fail to pay applicable fees
For minor or first-time breaches not involving fraud or illegal activity, we will endeavour to provide you with 7 days' written notice and an opportunity to remedy the breach before termination. For subscription non-payment, we will provide 3 days' notice before suspending access.
Upon termination, you must immediately cease using the software and destroy all copies in your possession. Clauses relating to Intellectual Property, Limitation of Liability, Governing Law, and Dispute Resolution shall survive termination.
11. Force Majeure
Lakesoft Technologies Limited shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, floods, earthquakes, or extreme weather events
- War, terrorism, civil unrest, or government actions
- Power outages, internet infrastructure failures, or telecommunications disruptions
- Cyberattacks, distributed denial-of-service (DDoS) attacks, or malicious third-party actions
- Pandemics, epidemics, or public health emergencies
- Actions or failures of third-party service providers, hosting providers, or payment processors
- Changes in applicable law or regulatory requirements
In the event of a force majeure, we will notify you as soon as reasonably practicable and will use reasonable efforts to resume services. If the force majeure event continues for more than 30 days, either party may terminate the affected service with written notice, and a pro-rata refund will be issued for any prepaid subscription period affected.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including but not limited to:
- The Companies and Allied Matters Act, 2020 (CAMA 2020)
- The Nigeria Data Protection Act, 2023 (NDPA)
- The Nigeria Tax Act, 2025
- The Federal Competition and Consumer Protection Act, 2018 (FCCPA)
- Any other applicable Nigerian federal legislation
For users accessing our services from outside Nigeria, local laws may also apply. Nothing in these Terms limits any rights you may have under the mandatory consumer protection laws of your country of residence.
13. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, the parties agree to the following process:
- Step 1 — Informal Resolution: Either party must first attempt to resolve the dispute informally by contacting the other party in writing with a description of the dispute and proposed resolution. The parties shall have 30 days to resolve the matter informally.
- Step 2 — Mediation: If informal resolution fails, the parties agree to attempt mediation administered by a mutually agreed mediator in Nigeria before initiating formal proceedings.
- Step 3 — Arbitration: If mediation fails, disputes shall be finally resolved by binding arbitration in accordance with the Arbitration and Mediation Act, 2023 of Nigeria. The arbitration shall take place in Nigeria, conducted in the English language.
- Step 4 — Courts: Notwithstanding the above, either party may seek urgent injunctive or declaratory relief from the courts of the Federal Republic of Nigeria where necessary to prevent irreparable harm.
The venue for any court proceedings shall be the courts of the Federal Republic of Nigeria. Users outside Nigeria may also have the right to bring claims in their local courts under mandatory consumer protection laws.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by:
- Posting the updated Terms on our website
- Updating the "Last Updated" date
- Sending email notifications to registered users
Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
